Terms of Service

By accessing or using NudgePay ("the Service"), operated by NudgePay LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

NudgePay is an automated invoice reminder platform designed for contractors and small businesses. The Service allows you to:

• Track outstanding invoices
• Send automated payment reminders via SMS and email
• Record payments and manage client communications
• Customize reminder messages, timing, and tone

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

NudgePay offers a 14-day free trial. After the trial period, continued access requires a paid subscription at the then-current rate. Subscriptions are billed monthly. You may cancel at any time — cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

You agree not to:

• Use the Service for any unlawful purpose
• Send spam, harassing, or threatening messages through the platform
• Violate any applicable laws regarding electronic communications or SMS messaging
• Attempt to gain unauthorized access to the Service or its systems
• Use the Service to collect payments for illegal goods or services
• Resell or redistribute the Service without our written consent

When you use NudgePay to send SMS reminders to your clients, you represent and warrant that you have obtained proper consent from each recipient in compliance with the Telephone Consumer Protection Act (TCPA) and all applicable regulations. NudgePay provides a consent collection mechanism, but you are ultimately responsible for ensuring compliance. Misuse of SMS features may result in account suspension or termination.

You retain ownership of all data you provide to the Service, including client information, invoice data, and message content. We do not sell your data to third parties. We may use aggregated, anonymized data to improve the Service. You can export or delete your data at any time by contacting support.

To the maximum extent permitted by law, NudgePay LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, or loss of data. Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

We may suspend or terminate your account at any time for violation of these terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Sections regarding limitation of liability, disclaimers, and governing law survive termination.

We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the updated terms.

These terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Colorado.
